Having the right legal counsel for your startup is essential to success in the world of venture capital. Bad advice can even lead to your company shutting down or, at best, incurring unnecessary expenses.

This article covers the legal basics every Mexican startup should know if it plans to operate and raise capital in Mexico, from corporate and intellectual property matters to contracts and vesting for founders and team members.

If you’re an entrepreneur in Mexico with little knowledge of legal matters, this article is for you.

‍Articles of incorporation and bylaws

If your goal is to raise capital in Mexico and you don’t yet have a company abroad, we recommend starting with a SAPI de CV to grant preferential rights in the future.

The articles of incorporation and bylaws establish the rules governing how the company operates, including shareholder meetings, management, oversight, corporate purpose, and company name.

It’s important to be clear about the types of shares that will be issued. Venture capital funds often request preferred shares, so we need to ensure these special economic rights are reflected in the articles of incorporation and bylaws. The bylaws must also reflect the terms agreed upon during the investment process.

‍The Cap Table and share registry book

The Cap Table is the company’s capital structure, including all issued shares and treasury shares. It’s a good idea to keep this document up to date to ensure clarity about the shareholding structure. The share registry book records all issued shares and their owners. It must meet the requirements established by law.

Trademark registration

It’s recommended that you register the trademark with the IMPI (Mexican Institute of Industrial Property) to obtain a certificate proving that the company owns it. This helps prevent future disputes and protects the company’s trademark rights.

‍Protecting intellectual property

It’s recommended that you sign an intellectual property assignment agreement under which the company retains the rights to software, inventions, designs, and other intangible assets. The agreement should also include an express clause transferring to the company the right to patent or register these creations.

Contracts should include confidentiality clauses to protect trade secrets, such as know-how, algorithms, and source code. These clauses help us establish a clear strategy and meet the legal requirements for proving ownership of our creations in the event of a dispute.

Keeping an inventory and clear descriptions of trade secrets allows us to control access to and disclosure of information, and gives us an effective strategy for protecting our assets. This makes it easier to communicate with investors, potential buyers, and new team members while setting clear limits on disclosure.

‍The compensation or equity plan (Option Pool)

Another important strategy for retaining talent and offering additional incentives to employees and advisors is a compensation or equity plan, also known as an Option Pool. This plan allows the company to offer an ownership stake. A shareholder meeting must be held, a compensation plan issued, and the corresponding contracts prepared.

‍Commercial documents

In addition to the strategies above, it’s essential to have the right commercial documents. These documents clarify business relationships and help prevent potential penalties. The two key documents are the terms and conditions and the privacy policy.

‍Terms and conditions

The terms and conditions govern the relationship between your company and its users. It’s important to tailor them to your business model and determine whether you’re offering a service or a license. This will affect the obligations and regulations that need to be set out in the terms and conditions.

‍Privacy policies

Privacy policies are essential, particularly when collecting and processing personal data. In a world where data is considered valuable, it’s crucial to comply with data protection laws and be transparent with users about how their data is handled.

‍Conclusion

By following these strategies to protect intellectual property, we can safeguard our assets and prevent future legal disputes. Keeping our strategy organized and clear will greatly simplify the process and give us confidence that our intellectual property is protected.

Remember that protecting intellectual property is essential in the venture capital space. Keeping these strategies in mind from the outset will allow us to safeguard our rights and maximize the value of our assets. Don’t underestimate the importance of specialized legal counsel to avoid fines and penalties. Protect your investment and ensure your company’s growth.
